WaterSoftenerPlus — Terms & Conditions of Sale

All sales of goods by WaterSoftenerPlus.com (“Seller”) to any purchasing party (“Buyer”) are governed by the following Terms and Conditions. These terms shall be construed and enforced under the laws of the State of Florida, USA.

1. Orders

Buyer must accurately reference the correct product name, SKU, size, and specifications when placing orders.
All orders are subject to Seller’s acceptance. Seller may correct clerical or typographical errors and shall not be bound by them.

2. Quotes

Written quotations are valid for the shorter of:
(a) the period stated in the quote, or
(b) thirty (30) days from issuance.

3. Binding Agreement

Buyer’s acceptance of goods constitutes agreement to these Terms.
Conflicting terms in Buyer’s documents are rejected unless expressly accepted in writing by Seller.
All modifications must be signed by both parties.

4. Acceptance & Inspection

Buyer must inspect goods upon delivery and promptly notify Seller in writing of defects or discrepancies.
Shipping-damage claims must be filed directly with the carrier.
Failure to notify Seller or file a claim constitutes acceptance “as is.”
Shortages must be noted at receipt.
Goods do not include installation, mounting hardware, or interconnecting piping unless specifically agreed in writing.

5. Title & Risk of Loss

Unless otherwise agreed in writing, title and risk of loss pass to Buyer upon delivery to the carrier (F.O.B. Seller’s Florida facility or agent).
Buyer must file transit-damage claims directly with the carrier.

6. Prices & Taxes

Prices are determined as of the shipment date and are F.O.B. Seller’s Florida facility.
Prices exclude installation, training, or additional services unless otherwise specified in writing.
Minimum billing is $25.00.
Buyer is responsible for all applicable sales taxes within Florida and any destination jurisdictions.

7. Payment Terms

Payment is due upon shipment by credit card, wire transfer, or certified funds unless otherwise agreed.
Administrative fees may apply to credit-card or late payments.
Approved accounts: Net 30 days from shipment date.
Overdue balances accrue interest at 1.5% per month (18% annually) until paid in full.

8. Credit Terms & Check Payments

Eligibility for credit or check payments is at Seller’s discretion and may require trade references, bank information, or financial statements.
Returned or NSF checks incur a $25.00 fee each and may revoke credit privileges.

9. Delay in Performance

Seller is not liable for delays caused by circumstances beyond its control, including transportation delays, strikes, labor shortages, fire, flood, hurricanes, or acts of God.
Delivery dates are approximate estimates only.

10. Limited Warranty

Third-party goods are covered only by the manufacturer’s warranty.
Seller’s own products may include a separate written limited warranty.
Except as otherwise stated and permitted by law:

Warranty coverage applies only to authorized purchasers buying directly from WaterSoftenerPlus.com.
All warranty claims must be filed within the stated period.

11. Limitation of Liability

Seller shall not be liable for incidental, consequential, special, or punitive damages, including lost profits or business interruption.
Buyer’s exclusive remedy is repair, replacement, or refund not exceeding the purchase price of the goods.

12. Returns

All returns require a valid Return Authorization (RGA) number.
Unauthorized returns may be refused.
Buyer is responsible for return shipping costs unless otherwise agreed in writing.
Seller is not responsible for removal, reinstallation, or associated labor or damages.

13. Cancellation / Change Orders

Standard products may be canceled or changed only with Seller’s written approval and may be subject to a cancellation fee.
Custom or special-order items are non-cancelable and non-returnable once production has begun.

14. Default & Collection

Failure to pay or perform constitutes default.
Seller may suspend shipments, declare all sums due, and recover all collection costs, including attorney’s fees and court costs.

15. Indemnification

Buyer shall indemnify and hold Seller harmless from all claims, damages, or losses arising from Buyer’s handling, installation, or misuse of goods, except to the extent caused by Seller’s gross negligence.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Florida.
All disputes shall be brought exclusively in the state or federal courts located in Hillsborough County, Florida.
Both Buyer and Seller consent to such jurisdiction and venue.

17. Non-Waiver & Severability

Failure by Seller to enforce any provision of these Terms shall not constitute a waiver.
If any term is deemed invalid or unenforceable, the remaining provisions remain in full effect.

18. Entire Agreement

These Terms, together with any Seller order acknowledgment or invoice, constitute the entire agreement between Buyer and Seller and supersede all prior communications.
Additional or inconsistent terms are rejected unless accepted in a signed writing by Seller.
